These Terms of Service ("Terms") govern your access to and use of the services provided by Epic Dynamics Pte. Ltd. ("Epic Dynamics," "we," "us," or "our"), a company incorporated in Singapore. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Services Provided

Epic Dynamics offers a range of digital and AI-driven solutions, including but not limited to:

• Branding and Strategy: Development of brand identity, market positioning, and strategic guidance.

• AI Systems and Agentic AI: Design, development, deployment, and optimization of AI systems, including custom AI agents (e.g., OpenClaw Dynamic Setup, AI Client System) and private Local Large Language Models (LLMs).

• UI/UX Design and Web Design: Creation of user interfaces, user experiences, and comprehensive web applications with SEO and GEO optimization.

• Copywriting: Content crafting for various digital platforms.

• System Design: Architectural planning and implementation of integrated digital systems.

Our services are tailored to meet the specific needs of startups, scale-ups, and established companies across various industries, including SaaS, Fashion, F&B, Interior Design, Tech, and Product development.

2. Scope of Work

Before any project commences, a written scope of work will be mutually agreed upon, detailing deliverables, timelines, and pricing. This scope may be outlined in a proposal, email, or a Notion board. Should new tasks or features be requested mid-project that fall outside the originally agreed scope, these will be re-quoted and confirmed with you prior to proceeding, ensuring no unexpected costs.

3. Payment Terms

Our standard payment terms are 50% upfront to initiate the project and 50% upon delivery, unless otherwise agreed upon in writing. The initial 50% payment is a non-refundable deposit required to secure our engineering resources and calendar slot. Final files and live access to deliverables are provided only after the final payment has been received. Late payments exceeding 7 days may result in a pause in the project timeline. We accept payments via bank transfer, Stripe, or Wise.

4. Revisions

Each project includes a defined number of revision rounds, typically 2–3 per phase, depending on the project's scope. Revisions are intended for refinement, not for a complete change in direction. If feedback significantly alters the project's direction after approvals or finalization, additional work may be quoted. We will always inform you of any potential additional costs before they are incurred.

5. Timelines & Deadlines

We commit to working efficiently and adhering to agreed schedules, contingent on timely provision of feedback, assets, and approvals from your side. If your team's communication or provision of necessary materials ceases for more than 14 days, the project will be temporarily paused. A rebooking fee may be applied if rescheduling our calendar slot becomes necessary.

6. Ownership & Rights

Upon receipt of the final payment, you will own the final deliverables, including designs, code, brand assets, and documentation created specifically for your project. Epic Dynamics reserves the right to showcase non-confidential work in our portfolio, case studies, or social media, unless you explicitly request otherwise in writing before the project commences. If the work involves sensitive material (e.g., pre-launch products, stealth brands), please inform us upfront, and we will ensure its privacy.

7. Communication

Our primary mode of communication is asynchronous, utilizing tools such as Slack, email, Notion, Zoom, Google Meet, WhatsApp, Telegram and Loom to maintain efficient collaboration and minimize the need for extensive meetings. We aim to respond to all project messages within 24–48 hours on weekdays. Urgent timelines or meetings will be scheduled collaboratively as needed.

8. Cancellations and Abandonment

You may cancel a project at any time. In such an event, you will be invoiced for all work completed up to the point of cancellation.

Project Abandonment: If a project is paused or client communication ceases for more than 30 consecutive days without prior written mutual agreement, Epic Dynamics reserves the right to officially terminate the agreement. Upon termination due to abandonment, the non-refundable initial deposit is forfeit, and the client will be invoiced for any additional unbilled work completed up to that date. Resuming an abandoned project will require a new contract at current market rates.

9. Liability

We guarantee the delivery of work as outlined in the agreed scope. Epic Dynamics is not liable for indirect damages, technical issues arising from third-party services (e.g., CMS platforms, plugins, hosting), or how the final work is used beyond our direct control. All deliverables are tested and handed over with professional care and in good faith.

10. Confidentiality

All information you share with us, including strategy, visuals, product details, or internal documentation, will be kept strictly confidential. We will not share, reuse, or disclose this information without your explicit permission. We are also open to signing a mutual Non-Disclosure Agreement (NDA) before commencing work, if requested.

11. AI-Specific Terms and Disclaimers

• AI Model Outputs: While we strive for accuracy and optimal performance, outputs generated by AI systems are based on algorithms and data, and may not always be perfect or free from biases. Clients acknowledge and accept the inherent limitations of AI technologies.

• Third-Party AI Providers: Our AI solutions may integrate or utilize services from third-party AI providers. Clients agree to comply with the terms and conditions of such third-party providers as applicable.

• Maintenance and Updates: We provide post-launch support for model updates and new prompt techniques for AI agents. For ongoing help, retainer options are available.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) Rules [1].

13. Updates to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices or legal requirements. Any changes will be posted on this page, and the "Last Updated" date at the top of the policy will be revised accordingly.
